Listing

NASDAQ OMX Nordic is the major center for listing of bonds in the Nordic region with about 5,000 listed bonds. More than 2,000 of these bonds are listed at NASDAQ OMX Stockholm. All major types of debt instrument can be listed on our market, including medium-term note programs (MTN), commercial papers, mortgage bonds, convertibles, structured products and lottery bonds to name a few. Throughout the whole listing process we provide guidance and help for issuers and their advisors in order to enable a fast and smooth listing process.

Bonds are registered for trading on NASDAQ OMX Stockholm according to Chapter 13 of the Swedish Securities Markets Act (SFS 2007:528). Information regarding trading is distributed through official pricelists. Information about bonds traded on the Retail Bond List and Benchmark Bonds List can be found under Price information. In order to register a bond, a prospectus that complies with Chapter 5 of the Financials Instruments Trading Act (SFS 1991:980) is required. Prospectuses are approved by the Swedish FSA: Finansinspektionen. Before the bond can be traded on the Exchange, the issuer must sign a listing agreement for bonds.

Lists
NASDAQ OMX Stockholm has several lists for bonds. Which list the bond is listed on depends on the type, structure of the bond, who is issuing and who the investor is.

Retail Bond List
Bonds listed on the Retail Bond List are intended mainly for small or medium sized investors. Bonds are traded under three headings on Retail Bond List: Retail Bonds, Subordinated loans and Structured Bonds. The issuer of the bond has an obligation to quote bid and ask prices on a daily basis.

Corporate Bond List
Bonds listed on the Corporate Bond List are bonds with a high nominal value and are mainly intended for a limited number of investors. There is only limited trading of bonds on the Corporate Bond List.


Benchmark Bond List
Benchmark Bonds are mainly traded by professional investors. The issuer of the bond has an obligation to quote bid and ask prices on a daily basis.
 

Prospectus
There are different types of prospectuses for bonds. Medium Term Note Program (MTN-program) or EMTN-program, are programs under which the issuer may issue bonds up to a set amount during one year. Final terms should be drawn up for every bond that is issued under the program.

A bond can be issued as a stand-alone bond, where a prospectus for that single bond is drawn up. Chapter 5, of the Financials Instruments Trading Act (SFS 1991:980) is applicable for all types of prospectuses. The prospectus is approved by Finansinspektionen.
 

Application documents and time schedules for approval and listing of bonds
MTN program/Stand-alone bonds – A prospectus and a copy of the approval from Finansinspektionen should be sent to the NASDAQ OMX Stockholm.

Final terms – The Final terms contain the specific information about the bond that is issued under the MTN-program.  For bonds due to be listed , final terms, together with the sales material should be sent to NASDAQ OMX Stockholm before the sales date. A signed application should be sent by fax.
